These Terms and Conditions ("Terms") govern your access to and use of the website at www.siftological.com and any associated platform, software, or services (collectively the "Services") provided by Siftological Ltd, a company registered in England and Wales under company number 17230874, with its registered office in the South East of England ("Siftological", "we", "us", or "our").
By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our Services. These Terms constitute a legally binding agreement between you and Siftological Ltd.
We may update these Terms from time to time. The version published on this page supersedes all previous versions. Continued use of the Services following any update constitutes your acceptance of the revised Terms.
Eligibility & Business Use
Our Services are intended exclusively for use by businesses and legal entities. By using our Services, you represent and warrant that:
- You are accessing the Services on behalf of a company, partnership, or other legal entity and have authority to bind that entity to these Terms.
- You are not accessing the Services as a consumer for personal, domestic, or household purposes.
- You are a UK-incorporated or UK-trading entity seeking information about or assistance with UK R&D Tax Relief.
- You are at least 18 years of age.
The Consumer Rights Act 2015 and associated consumer protection legislation do not apply to these Terms, as our Services are provided on a business-to-business basis.
Description of Services
Siftological provides an AI-powered technology platform designed to assist UK companies in identifying, documenting, and preparing information relating to qualifying Research and Development activity for the purposes of UK R&D Tax Relief claims under HMRC's RDEC and ERIS schemes.
The Services may include, but are not limited to:
- Integration with third-party project management tools (including Jira, GitHub, Asana, and Linear) to read project metadata.
- AI-assisted identification of potentially qualifying R&D activities based on HMRC guidelines.
- Generation of draft technical narratives and expenditure summaries for review.
- A dashboard for tracking identified activity and potential claim value.
- Free eligibility assessment tools.
Important limitation of service scope
Siftological is a technology and documentation assistance platform only. We are not a firm of accountants, tax advisers, or solicitors. We are not regulated by HMRC, ICAEW, CIOT, or any other professional body. Siftological Ltd is not registered as a tax agent with HMRC and does not act as a tax agent in respect of any user or customer. Nothing produced by our platform constitutes formal tax advice, and any output must be reviewed by a suitably qualified professional before submission to HMRC. The ultimate responsibility for the accuracy and completeness of any R&D tax relief claim submitted to HMRC rests entirely with you and your appointed advisers.
Your Account & Access
Access to certain parts of the Services requires registration. You agree to:
- Provide accurate, current, and complete information during registration and keep it up to date.
- Maintain the security of your account credentials and notify us immediately at [email protected] of any suspected unauthorised access.
- Accept responsibility for all activity that occurs under your account.
- Not share your account credentials with any third party.
We reserve the right to suspend or terminate your account at our discretion, including in cases of suspected misuse, breach of these Terms, or non-payment.
Intellectual Property
Our intellectual property
All intellectual property rights in the Services, including but not limited to the software, algorithms, AI models, platform design, branding, trade marks, and all content created by Siftological, are and shall remain the exclusive property of Siftological Ltd. Nothing in these Terms grants you any rights in or to our intellectual property other than the limited right to use the Services in accordance with these Terms.
Your data and content
You retain ownership of all data, project metadata, and content you provide to the Services ("Your Content"). By connecting your project management tools and using the Services, you grant Siftological a limited, non-exclusive, non-transferable licence to access, process, and use Your Content solely for the purpose of providing the Services to you.
You warrant that you have all necessary rights and permissions to provide Your Content to us, and that doing so does not infringe the rights of any third party.
Output and generated documents
Draft documents, narratives, and summaries generated by the platform using Your Content are provided to you for your use, subject to these Terms. You accept that such outputs are AI-generated starting points and must be reviewed and validated before use. Siftological makes no warranty as to the completeness, accuracy, or HMRC-compliance of any generated output.
Data Protection & Privacy
Siftological Ltd is committed to protecting your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
We act as a data controller in respect of personal data you provide to us directly (such as contact information), and may act as a data processor in respect of personal data contained within your project management data.
- We collect and process personal data only as necessary for the provision of the Services and in accordance with our Privacy Policy.
- We do not sell personal data to third parties.
- We implement appropriate technical and organisational security measures to protect personal data.
- We do not store source code. We access only the project management metadata required to identify qualifying R&D activity.
- All data is processed and stored within the UK or EEA, or in jurisdictions with adequate data protection frameworks as recognised by the UK.

Acceptable Use
You agree not to use the Services to:
- Submit false, misleading, or fraudulent information to HMRC or any other authority.
- Facilitate or encourage any activity that constitutes tax fraud or evasion.
- Circumvent, disable, or interfere with the security or integrity of the platform.
- Attempt to reverse engineer, decompile, or extract source code from our software or AI models.
- Use automated tools to scrape, harvest, or extract data from the Services without our prior written consent.
- Upload or transmit malware, viruses, or any malicious code.
- Violate any applicable law, regulation, or third-party rights.
- Use the Services in any manner that could damage the reputation of Siftological Ltd.
Siftological reserves the right to immediately suspend access to the Services if we reasonably believe you are in breach of this section.
Third-Party Integrations & Services
The Services may integrate with third-party platforms including Jira (Atlassian), GitHub, Asana, Linear, and others. Use of such integrations is subject to the terms and conditions of those third parties. Siftological has no control over, and accepts no liability for, the availability, functionality, or content of third-party platforms.
You are responsible for ensuring you have the necessary rights and authorisations within your organisation to connect your project management tools to the Siftological platform.
Fees & Payment
Details of our pricing, subscription plans, and payment terms will be presented to you at the point of purchase and in any separate Order Form or Service Agreement. Where applicable:
- Fees are payable in advance unless otherwise agreed in writing.
- All fees are quoted exclusive of VAT. VAT will be charged at the applicable UK rate where required.
- We reserve the right to change our pricing with reasonable notice. Price changes will not affect active subscription periods already paid for.
- In the event of non-payment, we reserve the right to suspend or terminate access to the Services.
- The free eligibility assessment tool is provided at no cost and does not create any contractual obligation on either party.
Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Siftological does not warrant that:
- The Services will be uninterrupted, error-free, or secure at all times.
- Any output, narrative, or documentation generated by the platform will be accepted by HMRC or will result in a successful R&D tax relief claim.
- The platform will identify all qualifying R&D activity present in your data.
- The information provided through the Services is complete, accurate, or current at all times.
HMRC eligibility decisions are made solely by HMRC. Siftological accepts no responsibility for HMRC's determination of any claim, whether prepared with or without the assistance of our platform.
Limitation of Liability
Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded by law.
Subject to the above, and to the fullest extent permitted by applicable law, Siftological Ltd shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:
- Loss of profits, revenue, business, or anticipated savings.
- Loss of data or corruption of data.
- Loss of goodwill or reputation.
- Any indirect, special, incidental, or consequential losses.
- Any penalties, interest, or additional tax charges imposed by HMRC.
- Any losses arising from your reliance on AI-generated outputs without independent professional review.
Subject to the above exclusions, our total aggregate liability to you in connection with these Terms or the Services shall not exceed the total fees paid by you to Siftological in the twelve (12) months immediately preceding the event giving rise to the claim. Where no fees have been paid, Siftological's total aggregate liability shall be nil.
Indemnification
You agree to indemnify, defend, and hold harmless Siftological Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of the Services in breach of these Terms.
- Your violation of any applicable law or regulation, including tax law.
- Any R&D tax relief claim submitted to HMRC using output from our platform.
- Any infringement of third-party rights arising from Your Content.
Termination
Either party may terminate the use of the Services at any time. You may stop using the Services and close your account by contacting us at [email protected].
We may suspend or terminate your access immediately, without notice or liability, if we determine in our sole discretion that you have breached these Terms or if we are required to do so by law.
Upon termination: (i) your right to access the Services will cease immediately; (ii) we may delete your account data in accordance with our data retention policy; and (iii) provisions of these Terms that by their nature should survive termination shall do so, including Sections 5, 10, 11, 12, and 15.
Force Majeure
Siftological shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, government action, pandemic, cyberattack, failure of third-party infrastructure, or telecommunications failure.
Governing Law & Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
General Provisions
- Entire Agreement: These Terms, together with any Order Form or Service Agreement, constitute the entire agreement between you and Siftological with respect to the Services and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
- No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
- No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Siftological.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Third-Party Rights: These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.
